The Terms of Service and the relationship between you and UsePDF are governed by the laws of Andorra, without regard to its conflict of law provisions. Both parties agree to submit to the personal and exclusive jurisdiction of the courts located within Andorra.
The failure of UsePDF to exercise or enforce any right or provision of the Terms of Service does not constitute a waiver of such right or provision. If any provision of the Terms of Service is found to be invalid, the parties agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms of Service remain in full force and effect.
5. Arbitration Agreement
(a) UsePDF and you agree to arbitrate all disputes and claims before a single arbitrator. This includes disputes arising out of or relating to any aspect of the relationship between us, claims that arose before these or any prior Terms, claims currently subject to purported class action litigation in which you are not a member of a certified class, and claims that may arise after the termination of these Terms.
(b) A party intending to seek arbitration must first send a written Notice of Dispute to the other party. If the parties do not reach an agreement within 30 days, either party may commence an arbitration proceeding. The arbitration will be governed by the Consumer Arbitration Rules of the American Arbitration Association (AAA), as modified by these Terms.
(c) After receiving notice of arbitration, UsePDF will promptly reimburse you for the filing fee, unless your claim exceeds $75,000. The arbitration will take place in the county of your contact address. The AAA Rules will determine the format of the arbitration, with the arbitrator making decisions on all issues, except those related to the arbitration provision and paragraph (f), which are for the court to decide. UsePDF will pay all AAA filing, administration, and arbitrator fees.
(d) If the arbitrator issues an award greater than UsePDF's last written settlement offer, UsePDF will pay you the greater amount and your attorney's fees. This provision survives termination of these Terms.
(e) The arbitrator may award injunctive relief only to the individual party seeking relief. Both parties agree not to bring claims as plaintiffs or class members in any class or representative proceeding. If a court decides that applicable law precludes enforcement of any of these limitations, then the claim must be severed from arbitration.
(f) The right to attorney's fees supplements any right under applicable law. This provision does not preclude the arbitrator from awarding a larger amount if allowed by law.
(g) If the amount in dispute exceeds $75,000 or either party seeks injunctive relief, either party may appeal to a three-arbitrator panel administered by the AAA. The panel’s decision will be final and binding.
(h) Changes to this arbitration provision will not apply to any dispute for which the parties had written notice before the effective date of the change. If UsePDF seeks to terminate this provision, any such termination will not be effective until at least thirty (30) days after providing written notice to you.
